Telekom Srbija set to acquire Orion Telekom WiFi, including contracts with residential customers

Behind what appears to be a minor “organizational change” within three sister companies operating under the name Orion Telekom lies a much larger development — the company’s sale to Telekom Srbija.

According to N1, the announced sale of Orion Telekom WiFi to the state-owned Telekom Srbija will also include the transfer of contracts with residential customers using Orion’s cable television, internet, and fixed-line services. This transfer will be made possible through the newly announced corporate restructuring.

In a notice to customers published on the company’s website at the end of October, Orion Telekom stated that, starting from December 1, 2025, as a result of a corporate restructuring, existing customer contracts concluded with Orion Telekom d.o.o. Zemun and Orion Telekom Tim d.o.o. Zemun will be transferred to the affiliated company Orion Telekom WiFi d.o.o. Zemun, which will from that date act as the operator and service provider under the same contract.

This announcement means that from December, residential customers will begin paying their bills to Orion Telekom WiFi, the company that Telekom Srbija sought to acquire earlier this year. In July, Telekom filed a takeover request with the Macedonian Competition Commission, which is the only authority in the region that publicly discloses such filings.

Orion Telekom reminded customers that Orion Telekom WiFi, based in Zemun and part of the Orion Group, is registered with Serbia’s Regulatory Agency for Electronic Communications and Postal Services (RATEL) as a provider of public electronic communications services for media content distribution and IPTV.

The company assured customers that the restructuring will not affect their current service agreements, noting that there will be no changes in usage conditions, prices, scope, or service quality. All services will continue uninterrupted under the same technical and commercial conditions, without the need to sign a new contract.

The transfer of contracts will be carried out in accordance with Article 103 of the General Terms and Conditions for Providing and Using Electronic Communication Services, which allows an operator to transfer a contract to an affiliated company without the customer’s explicit consent, as permitted by company law.

This notice was included in customers’ October bills and also sent to their registered email or postal addresses, depending on billing preferences.

As previously reported by N1 in July, Telekom Srbija intends to acquire Orion Telekom WiFi. The Macedonian Competition Commission confirmed at the time that Telekom Srbija had filed for approval to gain full control of the company. The Commission described Orion Telekom WiFi as an operator of electronic communication networks and services, registered for internet access, infrastructure leasing, and the rental of telecommunications network resources.

It is worth noting that one of Orion’s sister companies, Orion Telekom d.o.o., which operated the cable television service, removed the N1 channel from its offer on June 4, 2025, despite a valid contract running until March 2026. Customers were notified only 30 minutes before the channel was cut off.
