The company “Nectar” from Backa Palanka, announced today that it has received the official approval of the Competition Commission of Slovenia for acquisition of Slovenian ‘’Fruktal’’, whose share of 93.73 per cent bought from Pivovarna Lasko.
After receiving approval last week of the Competition Commission of Slovenia (previously obtained for Serbia and Montenegro), Nektar company expects two more approvals of the competent bodies for the protection of market competition, from Macedonia and BiH, which will be on the side of Nektar all conditions of the sale contract.
After obtaining all the approvals, it is expected that the seller meets its obligations under the purchase agreement, to formally takeover of ‘’ Fruktal’’ended, the statement said.
Shareholders of ‘’Pivovarna Lasko “on the assembly, in early August, approved the sale, of the Slovenian producer of juices from Ajdovščina to ‘’Nectar “,who will takeover the debts of ‘’Fruktal’’.
In late July, “Nectar” published that had bought this Slovenian plant juices.
The contract is anticipated on 35.3 million euros to buy 93.7 percent stake, but it’s also assumed the obligation to purchas other actions from minority shareholders and to settle debts of “Fruktal”, which amounts to little more than 13 million euros.
‘’Fruktal’’ last year,had a profit of 56 million of euros, and profit after tax amounted to just under five million.
Owners of “Nectar” from Backa Palanka, Radun familiy, assessed as a significant business success the purchase of “Fruktala” in Slovenia, stressing that the move puts the company in the first 15 to 20 largest producers of fruit juices in Europe.
Executive Director of the company’s Bojan Radun said earlier that conclusion of transaction and complete assumption of “Fruktal” could be completed by the end of October.
